UAE Company Doing Business in Russia: Key Steps

A UAE company can trade with Russia directly, open a branch or representative office, or incorporate a Russian LLC - and for most Gulf firms the LLC is the practical route because it can hold contracts, property and staff in its own name. The work splits into five steps: pick the legal form, register with the tax authority, open a bank account, choose the tax regime, and put a compliance file together before the first payment moves.

Choose the legal form before anything else

There is no single Gulf-style free-zone shortcut. A UAE firm entering Russia normally picks one of three structures, and the choice drives tax, reporting and banking.

A wholly owned Russian LLC is a separate Russian legal entity. It is fully resident for tax, can hold licences, property and employees, and is the only form that fits most local contracts. A branch (filial) is not a separate legal entity: it operates under the parent's name, must go through a separate state accreditation procedure, and the parent carries the liability. A representative office cannot trade - it is limited to marketing, market research and liaison, which suits a first look at the market but not revenue.

  • LLC: full commercial capacity, local tax residency, Russian accounting and reporting
  • Branch: foreign parent's liability, accreditation required, no separate capital
  • Representative office: non-commercial activity only, cheapest to maintain
  • Joint venture with a Russian partner: faster access to customers, but exit and governance terms must be drafted carefully from day one

The registration sequence, in order

Corporate documents from the UAE must be legalised - usually by apostille - translated into Russian, and the translation notarised. Deals are stopped at the bank, not at the registry, when this step is skipped or done inconsistently.

The incorporation package goes to the local tax inspectorate (the same authority handles state registration and tax registration), which issues the company's tax number (INN) and the registration record. Registration itself is fast; the real timeline is set by document preparation, notarisation and the bank. After registration the company needs a legal address, a director with the right to sign, statutory documents, a seal if it wants one, and registration with the social funds as an employer once staff are hired.

Open a Russian bank account only after the charter and director's authority are final. Changing a director or a signatory after account opening means repeating the bank's client review.

  • Legalised and translated corporate documents
  • Charter, founders' resolution, passport data of the director
  • Legal address - own lease or a provider, with a landlord letter
  • Tax registration and INN issue
  • Bank account and client due diligence file
  • Accounting policy, chart of accounts, reporting calendar

Banking and payments: the practical bottleneck

Settlement is no longer the obstacle it was in 2022. 86% of Russian exports were settled in rubles and friendly-country currencies in 2025 (Bank of Russia, 2025), and the UAE sits squarely inside that corridor. 75% of foreign direct investment now comes from friendly countries, against 25% before (UNCTAD via Izvestia, 2025) - Gulf capital is a visible part of that shift.

What takes time is client due diligence. Russian banks apply enhanced KYC to companies with foreign ownership, and UAE banks apply their own review to the mirror side of the transaction. Expect questions on beneficial ownership, the origin of funds, the end use of goods, and the absence of re-export to restricted destinations. Prepare a standing compliance pack: group structure chart, ownership evidence, trade documentation, end-user certificates, and a written description of the business.

Currency control adds paperwork, not permission: contracts above certain thresholds must be registered with the bank, and repatriation and dividend rules apply. Ask your bank for its current thresholds - they change.

  • Use one bank for operational flows and a second as a fallback; correspondent routes differ
  • Keep contract currency, invoice and payment purpose wording consistent
  • Dividends can be repatriated, but withholding tax and treaty conditions must be checked
  • UAE is not a designated unfriendly country, so the special account regime does not normally apply - confirm this with your bank and counsel before relying on it

Tax: the headline rates and the traps

A Russian LLC pays 25% corporate profit tax (Federal Tax Service, 2025), with 0-5% available in certain special regimes. Standard VAT is 22% since 1 January 2026 (Federal Tax Service, 2026). VAT registration is triggered by activity, not by choice - a foreign supplier of goods or services to Russian customers can be required to register and account for VAT through a local presence or a tax agent mechanism.

Dividends paid to the UAE parent and payments for services to a UAE counterparty can attract Russian withholding tax. A double tax treaty exists between the UAE and Russia, and its rates and conditions - including beneficial ownership tests - should be confirmed with a tax adviser before structuring, because Russian practice on treaty benefits has tightened.

Transfer pricing rules apply to transactions with related foreign parties. A UAE trading company buying from or selling to its own Russian subsidiary at off-market prices is the classic audit target.

  • 25% profit tax; 0-5% under special regimes (Federal Tax Service, 2025)
  • 22% standard VAT since 1 January 2026
  • Withholding tax on dividends and services - treaty relief requires substance and documentation
  • Payroll and social contributions apply from the first local hire
  • Personal income tax for expatriate staff depends on residency days - verify current thresholds

Where to base the operation

Moscow remains the default for commercial and government-facing business; office vacancy there stood at 7.6% in Q2 2026 (IBC Real Estate, Q2 2026), so space is available and negotiable. Special administrative regions have attracted 674 companies (Ministry of Economic Development, 2025) and offer a redomiciliation route for foreign groups, but they are designed around holding structures, not trading operations.

Special investment contracts - 90 signed, covering more than ₽2 trillion of declared investment (Government of Russia, 2025) - are the main instrument for a manufacturer who wants long-term tax and regulatory stability in exchange for localisation commitments. They are negotiated project by project and are not a retail product.

For a Gulf firm, the regions matter more than most first-time investors expect: the Far East and the Arctic zone run their own incentive packages, with 2,130 projects in the Free Port of Vladivostok (KRDV, 2026) and 1,000 residents in the Arctic Zone declaring ₽1.1 trillion (KRDV, Dec 2025). These are capital-intensive, long-horizon projects, and entry usually means partnering with an existing resident.

  • Moscow and St Petersburg: sales, services, headquarters
  • Special economic zones: manufacturing with customs and tax benefits
  • Special administrative regions: holding and redomiciliation, 674 companies (2025)
  • Far East and Arctic: resource and logistics projects, usually with a local partner
  • Agriculture: foreigners cannot own farmland, only lease it - up to 49 years
  • Border areas including Sochi, Anapa, Gelendzhik and Novorossiysk are closed to foreign land ownership

Sector approvals and honest restrictions

Strategic sectors - defence-adjacent industry, certain subsoil assets, parts of finance and media - require government approval for foreign control under Law 57-FZ. This is a screening process with its own timetable, and it runs in parallel with registration, not after it.

Investors from countries designated unfriendly face special account regimes and government approvals. A UAE company does not normally fall into that category, but ownership chains are traced to the ultimate beneficial owner, so a UAE entity controlled from a designated jurisdiction inherits the harder treatment. Structure substance, not just a registration address: a real office, real staff and local decision-making change how banks and regulators read the file.

Sanctions compliance is a separate discipline. Neither the UAE nor Russia asks you to ignore it; your UAE bank and your insurers will ask you to demonstrate it. Get independent legal advice on your specific counterparties, goods and payment routes before signing.

  • Law 57-FZ approval for strategic sectors - plan several months
  • Ultimate beneficial owner tracing, not just the immediate shareholder
  • Independent sanctions and export control advice for the UAE side of the deal
  • Personal data localisation and Russian accounting standards apply to the LLC

A realistic first 100 days

Weeks 1-3: legal form, tax adviser, sanctions counsel, and a decision on whether the UAE parent invoices directly for the first contracts or the Russian entity does. Weeks 3-8: document legalisation, charter, registration, INN, legal address, director appointment. Weeks 6-12: bank account opening with a complete compliance pack, plus a second bank in reserve. Weeks 8-16: accounting set up, first hires, VAT and payroll registration, contract templates reviewed for currency control registration.

The most common failure is sequencing: signing a supply contract before the bank account exists, or appointing a director whose authority is not documented precisely enough for the bank. Fix the paperwork first; the commercial timeline follows it.

  • Do not sign binding supply terms before account opening is realistic
  • Budget for translation and notarisation as a recurring cost, not one-off
  • Keep the UAE and Russian compliance files identical in substance
  • Re-verify tax rates, thresholds and deadlines with an adviser each time - they change

FAQ

Does a UAE company need a Russian LLC to sell into Russia?

Not always. Cross-border supply with a Russian customer is possible, but VAT registration, currency control and permanent establishment risk often make a local entity simpler once volumes are meaningful. A representative office is only for non-commercial activity.

Is a UAE company treated as an unfriendly-country investor?

The UAE is not a designated unfriendly country, so the special account and approval regimes do not normally apply. However, banks and regulators look through to the ultimate beneficial owner, so a UAE entity controlled from a designated jurisdiction can still face the harder treatment.

What taxes will the Russian company pay?

25% corporate profit tax (2025), or 0-5% under certain special regimes, and 22% standard VAT since 1 January 2026. Withholding tax can apply to dividends and service payments to the UAE parent, subject to the double tax treaty. Rates and conditions change - confirm with a tax adviser.

How long does registration take?

The state registration step is fast. The real timeline is document legalisation, translation, the legal address and, above all, bank client due diligence, which can run for weeks. Plan for two to three months from decision to a working bank account.

Can a UAE company buy land or property in Russia?

Commercial property can be owned by a Russian entity. Foreigners cannot own agricultural land - only lease it, up to 49 years - and border areas including Sochi, Anapa, Gelendzhik and Novorossiysk are closed to foreign land ownership.
