Pick the vehicle before you touch the paperwork
Three routes are open to an Egyptian business, and they differ in liability, tax and administrative load rather than in prestige.
A limited liability company (OOO) is the default: a separate Russian legal entity, Russian tax residency, full access to local banking and to state support instruments. An Egyptian company or an Egyptian individual can be the sole founder, or you can share ownership with Russian partners.
A branch (filial) or representative office is not a separate legal entity - it is an accredited extension of the Egyptian parent. A representative office may only conduct liaison and market research; a branch may trade. Neither is a shortcut: both go through accreditation with the authorised state body and are entered into a register kept by the tax service, and reporting is heavier because the parent is visible to the Russian authorities.
A joint-stock company makes sense only if you plan to raise capital from Russian or third-country investors; for a trading or service operation it adds governance cost with no benefit.
- OOO - separate entity, Russian tax resident, recommended for trading, services, production
- Branch - can trade, parent carries liability, accreditation required
- Representative office - liaison only, no commercial activity
- Joint-stock company - only if outside equity is planned
The registration sequence, in order
Registration is a documentary exercise run in parallel with two other tracks: the legal address and the director's immigration status. Treat them as one project.
The documents are filed with the Federal Tax Service, which is the single registration authority; the company is registered within a few working days, and the exact current term and state fee should be confirmed with your adviser before filing, as both are subject to change.
- Reserve the company name and check it against the register for conflicts
- Choose the tax regime and the OKVED activity codes - they must match what you will actually do
- Secure a legal address: owned premises, a lease, or a professional address provider
- Adopt the charter and the founders' resolution on appointment of the general director
- Pay the state fee and file the registration package with the tax authority
- Receive the registration record and tax registration number
- Register with the social funds as an employer once the first hire appears
- Open a bank account and notify the tax authority where required
- Obtain the director's work permit and visa before or immediately after registration, depending on the route
Egyptian paperwork: legalisation, translation, package
This is where Egyptian registrations most often stall. Russian registrars and banks accept foreign corporate documents only if they are properly legalised and translated, and both steps take time outside Russia.
Whether Egypt-issued documents require an apostille or full consular legalisation depends on the current treaty position between the two states; verify this with a Russian consular lawyer or the Egyptian authorities before you spend money on either route. A wrongly legalised package is rejected outright.
The translation must be into Russian, certified by a Russian notary (or by a translator's signature notarised in the accepted form), and the notary will also check that the legalisation is intact.
- Extract from the Egyptian commercial register, recent and certified
- Memorandum and articles of association of the Egyptian parent
- Certificate of tax residency of the Egyptian entity where relevant
- Power of attorney for the Russian representative, notarised and then legalised
- Passport copy of the ultimate beneficial owner and of the appointed director
- Confirmation of the legal address, plus the landlord's title document
- Translation of every foreign document into Russian with notarial certification
Tax from day one
A Russian OOO is a Russian tax resident and pays tax on its worldwide income. The standard corporate profit tax is 25%, and the standard VAT rate has been 22% since 1 January 2026; special regimes can reduce profit tax to 0-5% but come with eligibility conditions, turnover limits and activity restrictions that must be checked against your actual business model.
Do not assume an Egyptian parent makes the Russian company tax-transparent - it does not. Dividends paid back to Egypt are subject to withholding tax at the rate set by Russian law or by the applicable double tax treaty, whichever gives the better result; the treaty position must be confirmed by a tax adviser, not inferred from a website.
Registration of the company is not the same as being ready to invoice: the accounting function, the reporting calendar and the electronic reporting channel should be in place before the first transaction.
- 25% standard corporate profit tax
- 22% standard VAT rate since 1 January 2026
- 0-5% profit tax inside special regimes, subject to eligibility
- Withholding tax on dividends to Egypt depends on the treaty position - confirm with a tax adviser
Banking, settlements and compliance
An Egyptian-owned Russian company can open ruble and foreign-currency accounts in Russian banks. In practice the bank's compliance function, not the registration record, decides how fast this happens: expect questions on the ownership chain, the source of funds, the real business activity and your counterparties.
Settlements inside Russia are effectively cashless in the overwhelming majority of retail payments, and Russian exporters now settle a large share of their trade in rubles and in currencies of friendly countries - so a ruble-denominated operating account is a workable base for a trading business, not a compromise.
Because payment chains for any cross-border business are scrutinised by several banks at once, get independent compliance advice on your specific corridor and counterparties before signing supply contracts. This is a matter of legal risk management, not of finding workarounds - no legitimate adviser will help you structure around restrictions.
- Prepare a clean ownership chart up to the ultimate beneficial owners
- Have the Egyptian parent's audited accounts and tax residency certificate ready
- Explain the business purpose of each expected payment flow in writing
- Expect account opening to take longer than company registration
The director, the work permit and visas
An Egyptian national appointed general director needs the right to work in Russia. That means a work permit and, in most cases, a work visa; the sequence and the documents depend on the category applied for, and the highly qualified specialist route is the one most foreign-owned companies use because it carries a defined salary threshold and a simplified family regime - the threshold changes, so confirm the current figure with a migration lawyer.
A common practical solution is a Russian-resident director or a Russian legal entity acting as management company, with the Egyptian founder holding the owner's role and visiting on business visas. That keeps the operation running while the permit is processed, but it splits control from management and should be documented carefully in the charter and the management contract.
Registration of a company does not regularise the immigration status of anyone. Migration registration, the permit and the visa are separate proceedings with their own deadlines, and missing them carries administrative penalties and, in the worst case, expulsion.
- Work permit plus work visa for a foreign general director
- Highly qualified specialist route - salary threshold applies and is revised periodically
- Alternative: Russian-resident director or a management company
- Migration registration on arrival is mandatory and time-bound
What an Egyptian owner cannot simply do
Ownership of a Russian company is unrestricted for Egyptian investors, but ownership of assets is not. Agricultural land cannot be owned by foreign persons or companies - it can only be leased, for up to 49 years. Border territories, including Sochi, Anapa, Gelendzhik and Novorossiysk, are closed to foreign land ownership altogether, so a hospitality or resort project there needs a Russian-owned structure or a lease arrangement.
Acquiring a stake in a company operating in a sector treated as strategic requires prior government approval under Law 57-FZ. The list of strategic activities is broad and includes certain subsoil, defence-adjacent and infrastructure operations; screening whether your target falls inside it is a legal test, and the answer determines whether a deal is even filable.
On the positive side, an Egyptian-owned Russian company can use the same instruments as any Russian business: special investment contracts, special administrative regions, the Free Port of Vladivostok and the Arctic Zone, each with its own conditions and application procedure. None of them is automatic, and none is available in every region.
- Agricultural land - lease only, up to 49 years, no foreign ownership
- Border areas including Sochi, Anapa, Gelendzhik, Novorossiysk - closed to foreign land ownership
- Strategic sectors - prior approval under Law 57-FZ
- Incentive regimes - application-based, region- and project-specific
- Sanctions exposure of your banks and counterparties - take independent compliance advice
A realistic timeline and budget shape
Document legalisation in Egypt and translation sit outside Russian control and usually dominate the calendar; the registration itself is the shortest step. Bank account opening and the director's permit typically run after registration and can add weeks.
On cost, the state fee is set by the tax code and changes; notarial services, translation, a legal address and a compliance-reviewed banking file are the larger items. Ask for a quote itemised by step rather than a single figure, so you can see what is statutory and what is service.
- Phase 1 - legalisation and translation in Egypt
- Phase 2 - name, address, charter, founder documents
- Phase 3 - filing and registration record
- Phase 4 - bank account and compliance file
- Phase 5 - director's permit, visas, accounting set-up
FAQ
Can an Egyptian citizen own 100% of a Russian LLC?
Yes. Egypt is not among the countries designated unfriendly, so a single Egyptian founder can hold the entire charter capital. The company is still a Russian tax resident and pays Russian tax on worldwide income.
Does the Egyptian founder have to travel to Russia to register the company?
Not necessarily. A notarised and legalised power of attorney allows a representative in Russia to file and sign. However, bank account opening usually requires the director or the beneficial owner to appear in person, and the director needs a work permit if they are a foreign national.
How long does registration take?
The filing itself is handled within a few working days, but the total project timeline is driven by legalisation of Egyptian documents, translation, a legal address and bank onboarding. Confirm the current statutory term with your adviser, as it is subject to change.
What is the difference between a branch and an OOO for an Egyptian company?
An OOO is a separate Russian legal entity with limited liability and full local banking access. A branch is an accredited extension of the Egyptian parent, can trade, and exposes the parent to the liabilities of the Russian operation. A representative office cannot conduct commercial activity.
Can the Russian company buy land?
Commercial and residential real estate can be bought, but foreign persons and companies cannot own agricultural land - lease only, up to 49 years - and border areas including Sochi, Anapa, Gelendzhik and Novorossiysk are closed to foreign land ownership.
